These Terms and Conditions of Use (the “Terms”) apply to LegalNetwork.ca and to every page, feature, account, listing, plan and service offered through it (together, the “Site”). The Site is owned and operated by Legal Network Canada (“LegalNetwork”, “we”, “us” or “our”), operating from Peterborough, Ontario.
Please read these Terms carefully before using the Site. They set out the rules for using our directory, the rules for content you submit, the terms of our paid Premium plan and affiliate program, and important limits on our legal responsibility to you. Section 6 explains something you should understand before you go any further: LegalNetwork is a directory. We are not a law firm and we do not give legal advice.
1. Accepting these Terms
By visiting, browsing, searching, registering for an account, submitting or claiming a listing, posting an article, buying the Premium plan, or joining our affiliate program, you agree to these Terms. If you do not agree, please do not use the Site.
If you are using the Site on behalf of a firm, company or other organization, you confirm that you have authority to bind that organization to these Terms, and “you” means both you and that organization.
Eligibility
- You must be at least the age of majority in the province or territory where you live (18 or 19 depending on where you are) to create an account, submit content, purchase the Premium plan, or take part in the affiliate program.
- You must not be barred from using the Site under any applicable law, and you must not have had an account previously terminated by us.
- Anyone may browse and search public listings without an account.
2. Your Account
Some features — submitting or claiming a listing, submitting an article, buying Premium, joining the affiliate program — require a registered account. Registration asks for three things only: a username, an email address and a password. It also asks you to tick an attestation confirming that any article or other material you submit will be your own original work or will be published with the rights holder’s permission (see Section 9).
A profile photo, biography, website address, social media links and similar details are part of a listing, not part of your account. You add them when you create or claim a listing, and what displays publicly depends on the plan that listing is on (see Section 7).
- You agree to give accurate, current and complete information when you register, and to keep it up to date.
- You are responsible for keeping your password confidential and for everything that happens under your account, whether or not you authorized it.
- Do not share, sell, rent or transfer your account or login credentials to anyone else.
- Tell us right away at info@legalnetwork.ca if you believe your account has been accessed without your permission.
- We may refuse a registration, require identity or credential verification, reclaim a username, or close duplicate accounts.
You can ask us to close your account at any time. Closing an account does not automatically remove content you have already posted (see Sections 9 and 21), and it does not entitle you to a refund except as described in Section 7.
3. Listings and the Accuracy of Listing Information
Our directory contains thousands of listings for lawyers, paralegals, process servers, court reporters, legal technology providers, recruiters and other legal-sector professionals. Coverage is heavily weighted to Ontario, with listings in other provinces as well. We do not claim complete or nationwide coverage.
Listings compiled from public sources
Many listings were compiled from publicly available professional and business directories and were not created by the person or firm named in them. Other listings are submitted or claimed by the professionals themselves.
Correcting or removing a listing about you
If a listing describes you or your firm, you have three options, and we act on all three:
- Claim it and take editorial control of the content yourself — see Section 4.
- Ask for a correction. Email info@legalnetwork.ca telling us what is wrong and what it should say, and we will correct or update the listing.
- Ask for removal. Email info@legalnetwork.ca from an address we can reasonably connect to the listing, or contact us by telephone at (613) 318-2046. We honour removal requests. You do not have to tell us why, and you do not have to claim the listing first.
We aim to action correction and removal requests within 30 days. We may ask a question or two to confirm we are dealing with the right listing and the right person before we act. Once a listing is removed it stops being served from the Site, but copies may persist for a period in third-party search engine caches and archives that we do not control. See our Privacy Policy for more on how compiled listing information is handled.
If you submit or control a listing
- All information in your listing — name, licensing status, regulator, firm, practice areas, service areas, contact details, credentials, languages, fees and anything else — must be accurate, current and not misleading.
- You must promptly correct your listing if anything changes, including a change in your licence status.
- You must not describe yourself as a lawyer, paralegal, notary or other regulated professional unless you actually hold that licence in good standing, and you must not claim a specialization, certification or designation you do not hold.
- Your listing must comply with the advertising and marketing rules of your regulator (for example the Law Society of Ontario, the law society of your province or territory, or the Chambre des notaires du Québec). You are solely responsible for that compliance. We do not review listings for regulatory compliance and our approval of a listing is not confirmation that it complies.
- You must have the right to use every logo, photograph, video and description you upload.
- Only publish contact details you are content to have shown publicly. If you would rather not display a street address, remove it from your listing or ask us to.
What we may do
- We may edit listings for formatting, spelling, categorization, geographic placement or length.
- We may decline, unpublish, suspend or delete any listing at any time, with or without notice.
- We may keep an unclaimed listing in the directory, unless the person it describes asks us to remove it.
4. Claiming a Listing
If a listing describes you or your firm, you can ask to claim it and take control of its content.
- You may only claim a listing if you are the professional named in it, or a person expressly authorized to act for that professional or firm (for example a firm administrator or marketing manager acting with authority).
- We may ask you to verify your identity or authority before approving a claim — for example by confirming a firm email address, providing a regulator or licence number, or supplying confirmation on firm letterhead.
- Submitting a false or unauthorized claim is a serious breach of these Terms and may result in immediate termination of your account and removal of any content you posted.
- Claiming a listing gives you editorial control of that listing while your account remains in good standing. It does not transfer ownership of the listing page, the directory, or the underlying compilation to you.
- If a claim is disputed, or if we later receive information suggesting it was not properly authorized, we may reverse the claim, restore earlier content, or transfer control to the verified professional. Our decision on competing claims is final.
5. Fees, Taxes and Payment Overview
Browsing and searching the directory is free. Creating an account and a Basic listing is free. Our paid Premium plan is described in Section 7. There are only these two plans — a free Basic plan and a paid Premium plan — and there is no free trial.
All prices on the Site are in Canadian dollars (CAD). Prices are shown before tax. HST at 13% is added at checkout, so a $99 Premium listing is charged as $111.87 including HST. Our HST registration number is 754506020RT0001. Premium is an annual subscription that renews automatically each year — see Section 7 for the renewal and cancellation terms. The amount shown at checkout is the amount you pay for that term.
6. Important Directory Disclaimer — Please Read
This section is fundamental to how the Site works and to your agreement with us.
We are a directory, not a law firm
- LegalNetwork is not a law firm, a legal clinic, a paralegal firm, or a lawyer referral service operated or approved by any law society. We do not practise law and we are not licensed to do so.
- Nothing on the Site is legal advice. Listings, articles, blog posts, guides, category descriptions, search results and answers to general questions are information only. They are not a substitute for advice from a licensed professional about your own situation.
- Using the Site does not create a lawyer-client, paralegal-client, or any other professional relationship — not with us, and not with any professional listed on the Site. A professional relationship with a listed professional begins only when that professional agrees to act for you, normally under a written retainer.
- Information you send through the Site, including through a listing contact form, is not confidential and is not protected by solicitor-client privilege. Do not send sensitive details of your legal matter through the Site.
We do not endorse, verify or guarantee anyone
- We do not endorse or recommend any professional, firm or business listed on the Site.
- We do not verify or confirm any professional’s licence, standing, insurance, qualifications, credentials, experience, discipline history, criminal record, or the accuracy of anything stated in a listing. Listing information may be out of date, incomplete or wrong, including information compiled from public sources — a person may have moved firm, changed address, retired or died since the source directory was published.
- We do not guarantee the quality, competence, availability, pricing, timeliness or outcome of any service obtained through the Site, and we are not responsible for the acts or omissions of any listed professional.
- Featured, Premium and highlighted placements are paid advertising positions. Position, prominence, badges or ordering in search results reflect a paid plan, relevance filters and other technical factors — they are not a ranking, rating or endorsement of skill or quality.
Your responsibility before you hire anyone
- You are responsible for verifying that any professional you are considering is licensed and in good standing with the relevant regulator before you retain them, share information with them, or pay them any money. Every Canadian law society maintains a free public register of licensees, and other professions have their own registers. Please use them.
- Make your own inquiries about experience, fees, insurance, conflicts and suitability, and get the terms of any retainer in writing.
- Legal matters are time sensitive. Limitation periods and filing deadlines can permanently end your rights. Do not rely on the Site or on any delay in hearing back from a listed professional — speak to a licensed professional promptly.
- Any dealings, communications, retainers, payments or disputes between you and a listed professional are strictly between you and them. We are not a party to them.
If you have a concern about a licensee’s professional conduct, the correct place to raise it is the law society or regulator in the relevant province or territory, not this Site.
7. The Premium Plan
Plans and what Premium unlocks
- Basic — free. A standard directory listing with limited fields.
- Premium — $99 CAD per year plus 13% HST ($111.87 at checkout) — see the tax note in Section 5. Premium unlocks display of contact details, social media links, video, featured placement, and the ability to submit blog posts and publications for staff review.
There is no free trial. The Basic plan is free permanently; Premium is a paid annual subscription.
Feature sets may change as we develop the Site. If we make a material reduction to what Premium includes during a term you have already paid for, contact us and we will work out a fair adjustment (such as a credit toward your next renewal).
Payment, term and automatic renewal
- Payments are processed by Stripe. We do not receive or store your full card number; Stripe holds your payment details securely in accordance with its own terms and privacy policy. We keep a record of the amount, the plan and the transaction identifier.
- Premium is an annual subscription. Your first payment starts a one-year term on the date payment completes.
- Premium renews automatically at the end of each one-year term, and your payment method on file with Stripe is charged the then-current Premium price plus applicable HST, unless you cancel at least 30 days before your renewal date.
- You can cancel renewal at any time by giving us written notice at info@legalnetwork.ca at least 30 days before your renewal date. Closing your account, or termination of your account by us, also cancels any pending renewal — no further renewal charges are made after an account is closed. After cancellation your listing keeps its Premium features until the end of the term you have paid for, then returns to Basic: Premium-only fields — contact details, links, video, featured placement — stop displaying, and article submission is no longer available. The listing itself stays in the directory.
- We may send a reminder before your renewal date, but renewal does not depend on it — renewal happens unless you have cancelled with the notice described above.
- We may change the price of Premium. A price change takes effect at your next renewal, never during a term you have already paid for. If the price has increased materially, we will tell you before the renewal that applies it.
- If a renewal payment fails, is reversed or is charged back, we may return the listing to Basic — which hides Premium-only fields such as contact details, links and video — until the matter is resolved.
- A referral discount code (see Section 8) gives 10% off the Premium price. One code per order; codes cannot be combined with other offers and have no cash value.
Refunds
All Premium payments, including renewal payments, are final and non-refundable, except that we will refund a payment made in error or charged in duplicate — contact info@legalnetwork.ca and we will put it right.
- To avoid an unwanted renewal charge, cancel at least 30 days before your renewal date, as described above.
- We will always assist you to amend or delist your listing in a timely manner — just ask.
- Any refund we issue goes back to the original payment method through Stripe and normally appears within 5 to 10 business days.
- Nothing in this section limits any refund or cancellation right you have under applicable consumer protection legislation.
If you dispute a charge, please contact us first at info@legalnetwork.ca — we would rather sort it out directly than through a chargeback. We may suspend an account with an unresolved chargeback.
8. Affiliate Program
Our affiliate program lets approved participants earn a commission for referring new Premium customers.
Joining
- Participation requires an application and our written approval. We may approve or decline any application at our discretion, and we may set additional program rules from time to time.
- Approved affiliates receive a unique referral code and link. Do not share, resell or transfer your code.
- An affiliate is an independent contractor. The program does not create an employment, agency, partnership or joint venture relationship, and you may not present yourself as our employee, agent or spokesperson or make commitments on our behalf.
Tracking and commissions
- When someone uses your link, we set a cookie named ln_ref that lasts 30 days. A purchase is credited to you if it is linked to your code or your referral cookie at checkout.
- Referred customers receive 10% off the Premium price.
- You earn 10% commission of the amount the customer actually pays, calculated after any discount and excluding taxes, payment processing fees and refunds.
- Commission is earned only on completed purchases — payments successfully processed and not reversed. Free Basic plans, cancelled orders, refunded orders and failed payments earn nothing.
- Commission is earned on a customer’s initial Premium purchase only. Automatic renewal payments do not earn commission.
- Each commission is held for a 30-day confirmation window after the purchase before it becomes eligible for payout. This allows time for refunds, cancellations and chargebacks. A commission is reversed if the underlying purchase is refunded, cancelled or charged back at any time.
Payouts
- You supply your own payout details — Interac e-transfer email, bank account details, or mobile wallet. Payouts are made manually by our staff after you request a withdrawal.
- The minimum withdrawal amount is $50 CAD. Balances below the minimum roll over.
- Payouts are made in Canadian dollars. Any third-party transfer, bank or currency conversion fees are yours.
- You are responsible for giving us accurate payout details and for keeping them current. We are not responsible for funds sent to details you provided incorrectly.
- You are responsible for your own income taxes, and for any GST/HST registration and reporting obligations of your own, in connection with commissions. We may require tax information before paying you.
Affiliate conduct
Affiliates must not:
- Self-refer — you may not use your own code for your own purchase, or for a purchase by an account, listing, firm or person you own, control or are acting for;
- generate referrals through spam, unsolicited email or messages, misleading claims about LegalNetwork or its services, cookie stuffing, automated clicks, fake accounts, malware, typosquatting, or coupon-scraping tactics;
- bid on or register domain names, brand terms or ad keywords that impersonate or are confusingly similar to LegalNetwork or LegalNetwork.ca, without our written permission;
- imply that we endorse, verify or guarantee any professional, or make any promise about results, rankings or leads;
- fail to disclose the commercial relationship where a disclosure is required by law or platform rules — promotional content must be identifiable as promotional;
- breach any professional or regulatory rule that applies to them, including law society rules on advertising and referral fees. If you are a licensee, satisfy yourself that participating is permitted by your regulator before you join.
We may withhold, reverse or cancel commissions, freeze a balance while we investigate, and suspend or terminate any affiliate account at any time where we reasonably believe there has been fraud, abuse, self-referral, a breach of these Terms, or conduct that harms the reputation of the Site. Commissions arising from fraudulent or abusive activity are forfeited. Either party may leave the program at any time; unpaid, properly earned commissions above the minimum will still be paid, subject to this section.
9. Your Content: Ownership, Licence and Your Promises
“Your Content” means anything you submit, upload, post or send through the Site — listing text, business names, logos, photographs, videos, blog posts and publications, comments, messages, profile details and everything else.
You keep ownership
You keep all ownership rights in Your Content. We do not claim ownership of it.
The licence you give us
By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, store, back up, reproduce, format, edit for length and style, translate, publish, display, distribute and communicate Your Content on the Site and in promotion of the Site (including excerpts and thumbnails in newsletters, search listings and social media posts about the Site).
- The licence exists so that we can actually run and promote the directory. It is limited to that purpose.
- The licence lasts while Your Content is on the Site and for a reasonable period afterwards, to allow for backups, caches, archives and search-engine indexes that we do not fully control.
- You sublicence to our hosting, storage, email and content delivery providers only as needed to operate the Site.
- To the extent permitted by law, and only as needed for the editing, formatting, translation and presentation described above, you waive your moral rights in Your Content in our favour and in favour of anyone we authorize. You remain entitled to be credited as the author of published articles unless you ask otherwise.
- We pay no fee or royalty for Your Content unless we have agreed to in writing.
What you promise us
Every time you submit Your Content, you confirm that:
- It is your original work, or you have the rights holder’s permission to publish it here. This applies fully to blog posts, publications, articles, case comments, listing copy, photographs, logos, videos and quoted material. If a piece was written for or previously published by someone else — a firm, a publisher, a journal, a newsletter, an employer — you must hold the rights or have that publisher’s consent, and you must tell us where it was published before.
- You have all rights, licences and consents needed to grant the licence above.
- Your Content does not infringe anyone’s copyright, trade mark, moral rights, database rights, confidentiality, privacy or personality rights.
- You have consent from every identifiable person shown or named in photographs or video, and you are not disclosing any client’s confidential or privileged information.
- Your Content is accurate and not misleading, and complies with all applicable laws and with any professional or regulatory rules that apply to you, including law society advertising and marketing rules.
- Your Content does not contain undisclosed paid promotion, malware, or hidden links.
You are solely responsible for Your Content and for any consequences of submitting it.
Blog posts and publications
- Article submission is available to Premium members.
- Every submission is saved as pending and reviewed by our staff before anything is published. Submitting does not mean publishing. We may publish, edit, request changes, delay, or reject a submission, with or without giving reasons.
- The submission form carries an originality and consent attestation, which you must tick before you can submit. By ticking it — and, in any event, by submitting an article at all — you confirm that the work is your own original work or that you hold the rights holder’s consent to publish it here. A false attestation is a breach of these Terms and grounds for immediate removal and account termination.
- Editing may include changes to headings, length, formatting, links, images, categories and metadata. We may add an author biography, a link to your listing, and a disclaimer noting that the article is general information and not legal advice.
- We may unpublish or delete a published article at any time. We are not a publisher of record and do not guarantee that anything will stay online.
- Please keep your own copy of anything you submit. We are not a backup service.
Our right to moderate
We may — but are not obliged to — monitor, review, screen, edit, refuse, unpublish, move or delete any of Your Content, at any time, with or without notice, for any reason including a suspected breach of these Terms. We are not obliged to keep or return removed content. Reviewing content does not make us responsible for it.
10. Prohibited Content and Conduct
You must not use the Site to submit, post or transmit content that:
- infringes copyright, trade marks, moral rights, database rights or any other intellectual property right;
- is defamatory, libellous, or a knowingly false statement about a person or business;
- is false, deceptive or misleading, including false claims about licensing, credentials, specialization, results, fees, awards or affiliations;
- breaches law society or other regulatory rules on advertising, marketing, solicitation, testimonials, referral fees or claims of expertise;
- is hateful, discriminatory, harassing, threatening, sexually explicit, or otherwise offensive;
- is unlawful, promotes unlawful activity, or would put us in breach of a law or court order;
- discloses confidential, privileged or personal information without the right to do so;
- is spam, bulk or repetitive promotional material, keyword stuffing, hidden text, link schemes or SEO manipulation;
- impersonates any person, firm, regulator or organization, including us;
- contains viruses, malware or any code designed to interfere with the Site or any user’s device.
You must also not: interfere with or disrupt the Site or its security; attempt to gain unauthorized access to any account, server or data; probe or scan our systems; place unreasonable load on our infrastructure; frame or mirror the Site; remove or obscure any copyright, trade mark or attribution notice; or use the Site to solicit business in a way that breaches applicable anti-spam law.
11. Acceptable Use of the Directory — No Scraping or Bulk Extraction
The directory is provided for individual, human-scale use — searching, viewing and reading listings one at a time. That is equally true whether you are a member of the public looking for legal help, a professional managing your own listing, a firm researching counsel, or a recruiter or vendor looking someone up. What is not permitted is bulk, automated or wholesale use of the compilation itself. You must not, without our prior written permission:
- use any robot, spider, crawler, scraper, script, browser extension or other automated means to access, read, copy, index or monitor the Site or any part of the directory;
- download, copy, extract, store or reuse a substantial part of the directory, whether in one operation or through repeated small extractions;
- harvest or collect names, email addresses, phone numbers, street addresses or other contact information from the Site, whether manually or automatically, including for marketing, cold outreach or list building;
- republish, redistribute, licence or sell any part of the directory, or use it to build, train, populate or improve a competing directory, database, dataset or model;
- bypass, disable or interfere with any rate limit, access restriction, CAPTCHA or other technical measure we use to protect the Site;
- use the Site to send unsolicited commercial electronic messages, contrary to Canada’s anti-spam legislation.
The only exception is that we permit reputable search engine crawlers to index public pages in accordance with our robots.txt file, and we may revoke that permission at any time. We monitor for automated extraction and may block IP addresses, throttle access, terminate accounts and pursue legal remedies.
12. Our Intellectual Property
The Site itself — including its design, layout, look and feel, text, graphics, logos, icons, software, code, category structures, search functionality and the selection, arrangement and compilation of the directory — is owned by us or our licensors and is protected by copyright, trade mark and other laws, including compilation copyright in the directory as a whole.
“LegalNetwork”, “LegalNetwork.ca” and our logos are our trade marks. You may not use them without our written permission, except to make a plain, truthful reference to the Site. All other names, marks and logos appearing on the Site belong to their respective owners and are used to identify the listed business only; their appearance does not imply any affiliation with or endorsement by us.
Subject to these Terms — and in particular subject to the limits on bulk and automated use in Section 11 — you may view, search and print individual pages of the Site for your own personal or internal business use. All other rights are reserved.
13. Copyright Complaints
We take copyright seriously and we expect everyone who posts here to do the same. If you own copyright in material, or are authorized to act for the owner, and you believe that material has been posted on the Site without permission, please tell us.
How to send a claim
Send a written notice to info@legalnetwork.ca with the subject line “Copyright claim”.
Canada’s Copyright Act sets out what a notice of claimed infringement must contain. A notice that leaves any of these out does not comply with the Act, and we are not obliged to forward it. Please include:
- a statement that this is a notice of claimed infringement under the Copyright Act;
- your full name and address, and the other particulars we need in order to contact you (telephone number and email address);
- a clear identification of the work you say has been infringed, and a statement of your interest or right in it — for example that you are the copyright owner or are authorized to act for the owner;
- the exact URL or URLs on LegalNetwork.ca where the material appears (the electronic location data), and enough detail to locate it on the page;
- a statement of the infringement you are claiming;
- the date and time of the alleged infringement.
In addition to what the Act requires, we ask you to include the following. These are not statutory requirements in Canada, and leaving them out does not by itself invalidate your notice, but they help us handle the claim:
- a statement that you believe in good faith that the use is not authorized by you, your agent or the law;
- a statement that the information in your notice is accurate, and your signature (electronic is fine).
What we do with it — Canada’s notice and notice regime
Canada’s Copyright Act establishes a “notice and notice” regime. When we receive a notice of claimed infringement that meets the requirements of the Act, we will forward it to the person who posted the material and keep the records the Act requires us to keep. We will let you know that the notice has been forwarded, or tell you if it was not possible to do so.
- Under the notice and notice regime, forwarding a notice does not by itself mean the material is taken down, and it does not decide who is right. It gives the person who posted the material notice of your claim.
- Separately from the statutory regime, we may remove, unpublish or restrict access to any content at our own discretion under these Terms — including content that appears to infringe copyright — and we frequently will. Removal is our own decision, not a statutory obligation, and is not an admission about the merits of a claim.
- A notice under the Act must not include an offer to settle, a demand or request for payment, or a request for personal information, and must not refer to any of these. Notices containing that material do not comply with the Copyright Act and we may decline to forward them.
- We do not disclose the identity or contact information of the person who posted content in response to a notice. That normally requires a court order.
- If your material was removed and you believe that was a mistake, reply to us at info@legalnetwork.ca explaining why — for example evidence of a licence, permission or your own authorship. We will consider it, but the decision to restore content is ours.
- We may terminate the accounts of repeat infringers and remove all of their content and listings.
Please note that submitting a knowingly false or misleading claim of infringement can expose you to liability. If you are unsure whether you hold the rights, get legal advice first.
14. Third-Party Services and Links
The Site relies on third-party services, including Stripe for payments, an IP-based geolocation lookup service to detect your province so nearby listings can be shown first, a mapping provider for listing maps, an email delivery provider for notifications, and, where we enable them, optional social login providers. Your use of those services may also be governed by their own terms and privacy policies.
We plan to add a third-party bot and spam protection service (a bot-protection service) to our forms. It is not in use today, and our forms currently rely on other, non-third-party spam controls. We will update these Terms and our Privacy Policy before any such service goes live.
The Site also contains links to websites we do not control, including the websites of listed professionals. We provide those links for convenience only. We do not endorse, review or take responsibility for third-party sites, their content, their products or their privacy practices. Visiting them is at your own risk.
15. Privacy and Cookies
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. It explains how we handle account information, listing information compiled from public sources, order records, affiliate payout details, and the cookies we set. We do not sell personal information.
The cookies we set include:
- ln_ref — 30 days, affiliate referral tracking;
- ln_geo_prov — 7 days, remembers the detected province so nearby listings can be shown first;
- login and session cookies — set only when you log in. By default these last about two days; if you choose “Remember Me” at login, they last about two weeks.
We send transactional emails relating to your account, listings, orders and affiliate activity. If you sign up for our newsletter you can unsubscribe at any time using the link in the message.
16. Availability of the Site
We aim to keep the Site available and working well, but we do not promise uninterrupted access. We may change, suspend, limit or discontinue any part of the Site, including features, plans and pricing, at any time. Where a change materially affects a Premium term you have already paid for, Section 7 applies.
17. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and all content on it are provided “as is” and “as available”, without warranties or conditions of any kind, whether express, implied, statutory or otherwise. We specifically disclaim any implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title and non-infringement.
Without limiting Section 6, we make no representation or warranty that:
- listing information, articles or any other content is accurate, complete, current or reliable;
- any professional listed is licensed, insured, in good standing, competent, available or suitable for your matter;
- the directory covers any particular province, region, practice area or professional;
- the Site will be uninterrupted, timely, secure, or free of errors, viruses or harmful components;
- any result, outcome, lead, enquiry, ranking or level of exposure will be achieved through a listing or the Premium plan.
Some jurisdictions do not allow the exclusion of certain warranties or conditions. If a law that applies to you does not permit an exclusion in this section, that exclusion does not apply to you, and the remaining exclusions still apply.
18. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, savings, or data, however caused, even if we have been advised of the possibility.
- We are not liable for any loss or damage arising from your dealings with any professional or business listed on the Site, from any legal services (or failure to provide them), from reliance on any listing, article or other content, or from a missed deadline or limitation period.
- We are not liable for content posted by users, for unauthorized access to your account, or for the acts or omissions of third-party services such as payment, geolocation, mapping or email providers.
- Our total aggregate liability arising out of or relating to the Site or these Terms, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of (a) the total amount you paid us in the 12 months before the event giving rise to the claim, and (b) $100 CAD.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including liability for fraud, or rights you may have under consumer protection legislation.
19. Indemnity
You agree to indemnify, defend and hold harmless Legal Network Canada and its directors, officers, employees, contractors and agents from and against any claims, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or connected with:
- Your Content, including any claim that it infringes intellectual property, is defamatory, breaches confidence or privacy, or breaches a regulatory rule;
- your use or misuse of the Site;
- your breach of these Terms or of any applicable law or professional rule;
- a listing you submitted or claimed, including an unauthorized claim;
- your participation in the affiliate program;
- any dispute between you and another user, a listed professional, or a client.
We may take over the defence of any matter subject to this indemnity, at your expense, and you agree to cooperate with us.
20. Suspension and Termination
We may suspend or terminate your account, remove your listings and content, cancel your affiliate participation, or block your access to the Site — with or without notice — if we reasonably believe you have breached these Terms, if your conduct exposes us or another user to legal risk or harm, if we are required to by law, or if you have not used your free account for an extended period.
You may stop using the Site or close your account at any time. Closing your account cancels any pending Premium renewal, and termination of an account by us does the same — no renewal charge follows a closed account.
On termination: your right to use the Site ends immediately; we may remove or retain your listings and content at our discretion; unpaid affiliate commissions are handled under Section 8; and no refund is owed except as set out in Section 7. Sections that by their nature should survive — including Sections 6, 9, 10, 11, 12, 13, and 17 through 23 — survive termination.
21. Changes to these Terms
We may update these Terms as the Site develops or as the law changes. The current version is always posted on this page with the “Last updated” date at the top. If a change is material, we will take reasonable steps to bring it to your attention, such as a notice on the Site or an email to registered users.
Your continued use of the Site after the updated Terms take effect means you accept them. If you do not accept a change, stop using the Site and, if you have a paid Premium term running, contact us.
22. Governing Law and Disputes
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict of laws rules.
Let us try to fix it first. If you have a problem, please contact us at info@legalnetwork.ca or (613) 318-2046 and give us a fair opportunity — at least 30 days — to resolve it informally. Most issues can be sorted out quickly this way.
If a dispute cannot be resolved informally, you and we agree that it will be dealt with by the courts of the Province of Ontario, and you and we submit to the jurisdiction of those courts and agree that Ontario is a convenient forum. Nothing prevents either party from bringing a claim in Small Claims Court where appropriate, or prevents us from seeking an injunction in any court to protect our intellectual property or the security of the Site.
If you are a consumer, this section does not take away any right you have to bring a claim, or any protection you have, under the consumer protection laws of the province or territory where you live.
23. General
- Entire agreement. These Terms, together with our Privacy Policy and any plan or program terms we publish, are the whole agreement between you and us about the Site.
- Severability. If any part of these Terms is found unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force.
